By accessing or using WalletForge ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and WalletForge. By creating an account, accessing our website, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Important Notice
If you are using WalletForge on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Service" or "Platform"
- Refers to WalletForge's digital pass management platform, including all associated software, APIs, websites, and mobile applications.
- "User" or "Customer"
- Any individual or entity that registers for, accesses, or uses the WalletForge Service.
- "Digital Pass" or "Pass"
- A digital ticket, coupon, loyalty card, membership card, or other digital credential created, managed, or distributed through the Service.
- "User Content"
- Any data, text, images, logos, designs, or other materials uploaded, created, or distributed by Users through the Service.
- "Subscription Plan"
- The specific tier of service (Free, Pro, Business, or Lifetime) selected by the User, which determines available features and usage limits.
- "Active Users"
- End recipients who have downloaded, installed, or actively use passes created through your WalletForge account.
- "Account"
- Your registered user profile and associated data within the WalletForge platform.
3. Account Registration and Security
3.1 Account Creation
To use certain features of WalletForge, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Be at least 18 years of age or the age of majority in your jurisdiction
- Be responsible for all activities that occur under your account
- Not create an account using false identity or information
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:
- Choose a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities under your account
3.3 Account Types
WalletForge offers individual and business accounts. Business accounts may have multiple team members with different permission levels. The account owner is responsible for all actions taken by team members.
Security Recommendation
We strongly recommend enabling two-factor authentication (2FA) on your account for enhanced security.
4. Subscription Plans and Billing
4.1 Subscription Plans
WalletForge offers multiple subscription plans with varying features and limitations:
- Free Plan: Limited features suitable for testing and personal use
- Pro Plan: Full features for professionals and small businesses (monthly or annual billing)
- Business Plan: Advanced features for larger organizations (monthly or annual billing)
- Lifetime Plan: One-time payment for lifetime Pro features
4.2 Billing and Payment
By subscribing to a paid plan, you agree to the following:
- Subscription fees are billed in advance on a monthly or annual basis
- Payment is processed through Authorize.Net, our secure payment processor
- You authorize us to charge your payment method for all fees due
- All fees are non-refundable except as required by law or stated in Section 4.5
- Prices are subject to change with 30 days' notice
4.3 Automatic Renewal
Monthly and annual subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee.
4.4 Free Trial
We may offer free trials for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled. You must provide valid payment information to start a trial.
4.5 Refund Policy
- Monthly Subscriptions: No refunds for partial months
- Annual Subscriptions: Pro-rated refunds available within 30 days of purchase
- Lifetime Plans: 30-day money-back guarantee from date of purchase
- Refunds are processed to the original payment method within 5-10 business days
4.6 Taxes
All fees are exclusive of applicable taxes (including VAT, sales tax, and GST). You are responsible for paying all taxes associated with your purchase.
Annual Savings
Annual subscription plans offer significant savings compared to monthly billing. Consider upgrading to annual billing to save up to 33%.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use WalletForge to create, manage, and distribute digital passes for legitimate business purposes, including but not limited to:
- Event tickets and admission passes
- Loyalty and rewards programs
- Membership cards
- Coupons and promotional offers
- Gift cards and stored value cards
- Boarding passes and transportation tickets
5.2 Prohibited Uses
You agree NOT to use WalletForge for any of the following purposes:
- Illegal Activities: Any activity that violates local, state, national, or international law
- Fraud: Creating counterfeit passes, tickets, or credentials
- Spam: Sending unsolicited commercial messages or bulk distributions without consent
- Malware: Distributing viruses, malware, or other malicious code
- Infringement: Violating intellectual property rights, including trademarks, copyrights, or patents
- Harassment: Harassing, threatening, or stalking individuals
- Impersonation: Impersonating another person, business, or entity
- Harmful Content: Distributing content that is defamatory, obscene, violent, or discriminatory
- Security Violations: Attempting to breach security, access unauthorized data, or reverse engineer the Service
- Resource Abuse: Using automated scripts or bots to abuse the Service or exceed usage limits
5.3 Usage Limits
Your subscription plan includes specific usage limits (pass counts, active users, API calls). You agree not to exceed these limits. We reserve the right to suspend accounts that exceed their plan limits or engage in abusive usage patterns.
5.4 Compliance
You are responsible for ensuring your use of WalletForge complies with all applicable laws and regulations, including data protection laws (GDPR, CCPA), consumer protection laws, and industry-specific regulations.
Violation Consequences
Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we may report illegal activities to law enforcement.
6. User Content and Intellectual Property
6.1 Your Content
You retain all ownership rights to the content you upload, create, or distribute through WalletForge ("User Content"). By using the Service, you grant WalletForge a limited, worldwide, non-exclusive license to:
- Store, process, and display your User Content as necessary to provide the Service
- Generate and distribute passes containing your User Content to end users
- Create backups and archives of your User Content
- Use anonymized, aggregated data for analytics and service improvement
6.2 Content Responsibility
You are solely responsible for your User Content and represent that:
- You own or have necessary rights to use and distribute your content
- Your content does not violate any third-party rights
- Your content complies with all applicable laws and these Terms
- Your content is accurate and not misleading
6.3 WalletForge Intellectual Property
WalletForge and its licensors own all rights, title, and interest in the Service, including:
- Software, code, and technology
- Trademarks, logos, and branding
- Documentation and marketing materials
- Templates and design elements provided by us
These Terms do not grant you any intellectual property rights except the limited right to use the Service as described.
6.4 Feedback
If you provide feedback, suggestions, or ideas about WalletForge, we may use them without any obligation to you. By submitting feedback, you grant us a perpetual, irrevocable license to use, modify, and incorporate your feedback into the Service.
6.5 Content Removal
We reserve the right to remove or disable access to any User Content that violates these Terms or applicable law, with or without notice.
7. Service Availability and Support
7.1 Service Uptime
We strive to maintain 99.9% uptime for WalletForge, but we do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable due to:
- Scheduled maintenance (announced in advance when possible)
- Emergency maintenance or security updates
- Factors beyond our control (Internet outages, third-party failures)
- Force majeure events
7.2 Service Changes
We reserve the right to:
- Modify, update, or discontinue features of the Service
- Change system requirements or technical specifications
- Release updates and new versions
- Remove deprecated features with reasonable notice
7.3 Customer Support
Support availability varies by subscription plan:
- Free Plan: Community support and documentation only
- Pro Plan: Email support with 48-hour response time
- Business Plan: Priority email support with 24-hour response time
- Lifetime Plan: Priority email support with 24-hour response time
7.4 Third-Party Services
WalletForge integrates with third-party services (Apple Wallet, Google Pay, payment processors). We are not responsible for the availability, functionality, or terms of these third-party services.
8. Data Privacy and Security
8.1 Privacy Policy
Your use of WalletForge is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
8.2 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption of data in transit (SSL/TLS)
- Encryption of sensitive data at rest
- Regular security audits and vulnerability assessments
- Access controls and authentication mechanisms
- Regular backups and disaster recovery procedures
8.3 Data Ownership and Portability
You own your data. You may export your data at any time through our platform. Upon account termination, you have 30 days to export your data before it is permanently deleted.

We retain your data for as long as your account is active and for a reasonable period thereafter for legal and business purposes. Deleted data may remain in backups for up to 90 days.

9. Termination and Cancellation
9.1 Cancellation by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the billing period.
9.2 Termination by WalletForge
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your payment fails or account becomes past due
- You engage in fraudulent or illegal activity
- We are required to do so by law
- We discontinue the Service (with reasonable notice)
9.3 Effect of Termination
Upon termination of your account:
- Your access to the Service will be immediately revoked
- Passes you created may continue to function but cannot be updated
- You have 30 days to export your data
- We will delete your data after 30 days (or as required by law)
- You remain liable for all fees incurred before termination
- Provisions that should survive termination will remain in effect
9.4 No Refunds on Termination
If we terminate your account for breach of these Terms, you are not entitled to any refund of prepaid fees.
10. Disclaimers and Warranties
10.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of content
- Uninterrupted or error-free operation
- Security or virus-free operation
10.2 No Guarantee
We do not guarantee that:
- The Service will meet your specific requirements
- Results obtained from the Service will be accurate or reliable
- Passes created will be compatible with all devices or platforms
- All errors or defects will be corrected
- Third-party integrations will function as expected
10.3 Beta Features
Some features may be offered as "beta" or "preview" versions. These features are provided for testing purposes and may be unstable, incomplete, or contain errors. Beta features may be discontinued at any time.
10.4 Third-Party Content
We are not responsible for content, accuracy, or availability of third-party websites, services, or integrations accessed through WalletForge.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALLETFORGE SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Loss of goodwill or reputation
- Service interruptions or downtime
- Costs of procurement of substitute services
- Data loss or corruption
- Unauthorized access to your data
11.2 Liability Cap
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The amount you paid to WalletForge in the 12 months preceding the claim, or
- $100 USD
11.3 Exclusions
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
11.4 Jurisdictional Limitations
Some jurisdictions do not allow limitation of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless WalletForge, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of any applicable laws or regulations
- Actions of other users accessing your account with your permission
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
13. Modifications to Terms
13.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms on our website
- Update the "Last Updated" date at the top of this document
- Notify you via email or in-app notification
- Provide at least 30 days' notice before changes take effect
13.2 Acceptance of Changes
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
14.2 Dispute Resolution Process
In the event of any dispute, claim, or controversy arising from these Terms or the Service, you agree to the following resolution process:
Step 1: Informal Negotiation
Contact us at admin@echodial.io to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.
Step 2: Mediation
If informal negotiation fails, either party may initiate non-binding mediation before a mutually agreed mediator.
Step 3: Binding Arbitration
If mediation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Delaware or via video conference.
14.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative actions.
14.4 Exceptions
Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized access to the Service.
14.5 Jurisdictional Issues
If you are accessing WalletForge from outside the United States, you are responsible for compliance with local laws. WalletForge makes no representation that the Service is appropriate or available in all locations.
16. Additional Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WalletForge regarding the Service.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or Internet failures.
16.6 Survival
Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.
16.7 Relationship
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and WalletForge.
